Corporate Paralegal
Hybrid: Los Angeles, San Francisco, Chicago, New York or Austin 

We are seeking an experienced Corporate Paralegal who has experience working in-house with a tech company to join our legal team. This role will support corporate governance, securities filings, subsidiary management, and strategic transactions, while collaborating with cross-functional teams in a fast-paced environment.

Responsibilities:

  • Assist with corporate governance, securities filings (proxy statements, Section 16, annual/quarterly reports), and entity management (domestic & international).
  • Maintain corporate records, databases, board materials, and minutes.
  • Support M&A and strategic transactions (due diligence, closings, post-closing).
  • Administer equity incentive programs and ensure compliance.
  • Partner with tax, finance, HR, investor relations, and outside counsel.
  • Support litigation, investigations, and employment-related matters.
  • Manage multiple projects independently and ensure deadlines are met.

Qualifications:

  • 5+ years of corporate paralegal experience (law firm and/or in-house).
  • Bachelor’s degree and paralegal certificate (or equivalent).
  • Strong drafting, research, communication, and organizational skills.
  • Proficiency with Adobe Acrobat, DocuSign, Workiva, and BoardVantage.
  • Ability to manage vendors and external counsel.
  • Thrives in a fast-paced, collaborative environment.

Compensation & Benefits:

  • Salary: $80,000 – $90,000/year (OTE $90,000 – $100,000 with bonus/commission).
