Senior Corporate Transactional Attorney – Representations & Warranties Insurance
A leading international law firm is seeking an attorney with 4+ years of corporate, M&A, or other transactional experience to join its established Representations & Warranties Insurance (RWI) underwriting practice. This team partners with insurance underwriters and transaction parties on complex mergers and acquisitions, providing legal analysis and risk assessment related to transactional insurance coverage.
The attorney will review and analyze private M&A transaction documents, due diligence materials, and related deal documentation to identify legal and transactional risks. The role also involves collaborating with subject matter experts, advising on insurance coverage issues, and building relationships with insurance underwriters, brokers, and transaction stakeholders throughout the deal process.
The ideal candidate will have a strong understanding of the M&A transaction lifecycle and transactional risk, including representations and warranties, indemnification issues, purchase price adjustments, litigation exposure, and damages analysis. Experience negotiating or procuring representations and warranties insurance is highly desirable but not required.
Successful candidates will demonstrate exceptional analytical and critical thinking skills, strong written and verbal communication abilities, excellent organization, and the ability to thrive in a fast-paced, deadline-driven transactional environment. A collaborative approach and strong interpersonal skills are essential.
